Legal support for Arti Gaming

About company and product

Arti Gaming is a software development company that builds online platforms and digital products in the iGaming, fintech, and blockchain fields. The company focuses on developing high-load systems, back-office solutions, payment integrations, and custom online platform functionality for international projects.

The team works on end-to-end product development, including MVP launches, infrastructure setup, and integrations with third-party services, supporting products used by a global user base.

Audit

  • The company operated under a cross-border structure: the Ukrainian team (developers, designers, and marketers) focused on product development, while the European partner was responsible for marketing strategy, promotion in the EU market, as well as legal support and regulation of payments and licensing.

With this setup, the client’s main goal was to properly formalize its operations within the EU, organize the lawful receipt and accumulation of fiat and crypto funds on company accounts, and establish a clear and transparent payment flow for Ukrainian contractors involved in product development.

During the audit phase, IT lawyers found that in order to achieve the goals, the company needs to:
  • 1Formalize its business structure in the EU in line with its cross-border operations.
  • 2Set up a clear and lawful system for receiving and holding fiat and crypto funds on company accounts.
  • 3Properly structure agreements with the development team working as contractors.
  • 4Prepare legal documents to regulate cooperation with partners and protect confidential information during ongoing business development and investor communications.

The Stalirov&Co team has identified the following areas of work:

Opening a company in Estonia
Realization:
  • The Stalirov&Co team analyzed the client’s business model
and selected Estonia as a suitable EU jurisdiction
    for structuring international IT operations.
  • Our tax audit lawyer structured the financial model taking into
account Estonia’s corporate taxation principles, including 0% tax
on undistributed profits and taxation only upon profit distribution.
  • We advised on VAT implications for working with EU clients
and building a transparent structure for international transactions.
  • Our lawyers set up corporate accounts in international
payment systems (Wise) to enable lawful receipt and
management of fiat and crypto-related cash flows.
  • We prepared the incorporation documents required for
company registration and registered the company name
in accordance with Estonian legal requirements.
  • The team arranged a legal address and connected
ongoing accounting support to ensure proper reporting
and compliance from the start of operations.
  • We assessed the feasibility of opening a local bank account
and analyzed substance and presence requirements
to reduce regulatory and banking risks.
Master Service Agreement (MSA) with the development team
Realization:
  • Our lawyers established a clear contractor model confirming that
team members act as independent contractors, not employees,
    reducing employment and reclassification risks.
  • We secured full transfer of intellectual property rights
to the company from the moment of creation
of any software, code, and other deliverables.
  • We implemented a structured invoicing
    and acceptance system linking payments
to delivered services and IP transfer.
  • The lawyers introduced strict confidentiality and data
protection obligations aligned with GDPR standards.
  • We added non-compete, non-solicitation, and
anti-poaching provisions to protect the team,
    clients, and business relationships.
  • We formalized service scope, task management (ToR),
and remote workflow processes to ensure control
    over development and product quality.
Non-Disclosure Agreements (NDA) with the team
Realization:
  • Our tech lawyers put in place clear confidentiality obligations
    covering code, technical documentation, databases,
    and internal business information.
  • We fixed that all project materials and confidential
information remain the property of the company.
  • The lawyers limited the use of sensitive information
strictly to project work and prohibited disclosure
to third parties without written approval.
  • We restricted the publication of project details, case references,
and materials in personal portfolios without the company’s consent.
  • We established data protection and secure handling requirements
for access to repositories, systems, and internal documentation,
including obligations that continue after termination of cooperation.
Non-Disclosure Agreement (NDA) with the investor
Realization:
  • The Stalirov&Co team created a clear confidentiality framework
for negotiations with an Asian investor regarding
    potential cooperation and investment.
  • Our lawyers structured the protection of sensitive disclosures,
    including financial data, product documentation,
    source code, and business plans.
  • We ensured that all shared materials and internal business
    information remained the company’s property.
  • Our tech lawyers limited the use of disclosed information
to partnership evaluation only and prohibited sharing it
with third parties without written consent.
