The Stalirov&Co team facilitated the transfer of KVSaaS, a SaaS solution for data management, to clients from Germany
About company and product
KVSaaS is a municipality application management software solution based on the A2v10 platform. With the help of the KVSaaS platform, municipal enterprises organize document flow, store information securely, and create detailed reports based on system data.
The IT product is promoted on the EU market through local partners.
Draft legal documents to promote the product through distributors in Germany. Create legal protections to allow the company to process the data of municipal employees, operational, and financial information of utilities.
🔸Develop a license agreement and privacy policy for end users of the IT product.
🔸Protect KVSaaS ownership of the software solution.
Realization
IT lawyers determine the type of license and described its features
KVSaaS grants a non-exclusive license to use the software solution for its intended functionality, solely for self-use, without the right to sublicense it to third parties. The access right is granted for only one instance of the program.
A subscription allows the purchaser to use the program after agreeing to pay KVSaaS for the service. A user pays for the subscription based on the invoice received from the distributor within 5 banking days from the date of receipt. If the subscription expires, and it is not renewed within 15 calendar days, further use of the program is suspended.
We define the method of monetization through a paid subscription
We notify users that their account can be blocked for violating the license agreement
KVSaaS has the right to block access to the account, including access to all content, for violations of the terms of the license agreement.
Once blocked, a user loses access to the account, while all data and settings are saved for 90 calendar days from the moment of the block. A user has the right to export the data related to the account, which is stored by KVSAAS.
IT lawyers protect KVSaaS copyrights
The parties agree that the license agreement does not transfer the rights to trademarks, inventions, designs, or to any other intellectual property of KVSaaS.
We prohibit copying, reselling, or unauthorized access to the product
A user is not entitled to copy, modify, resell, or use the software in any way other than those specified in the agreement.
IT lawyers implement disclaimers
The program is provided "as is". KVSaaS is not responsible for the operation of the program, makes no warranties or representations regarding the correctness, accuracy, or reliability of the results obtained using it, and also has no obligation to provide technical support services.
KVSaaS may offer support or maintenance services for certain user components or the program in general, subject to the terms of a separate agreement.
We describe the IT product support conditions
We prohibit the disclosure of trade secrets and include non-solicitation agreements
Users are required not to take actions that could be considered unfair competition, in particular:
◼encouraging the refusal of contractual relationships with other users and KVSaaS contractors;
◼encouraging KVSaaS employees to terminate the contract with the company;
◼disclosure of KVSaaS trade secrets.
KVSAAS can collect and store users’ personal data, concerning:
◼name, company of employment
◼contact information, postal address, email address, and telephone number;
◼technical information about program visits;
◼geo data while using the program.
GDPR lawyers develop the Privacy Policy to pass GDPR compliance and determined what users’ data the software collects and processes
We designate where to store personal data
Personal data is stored on Microsoft servers in an Azure cloud service. Microsoft provides physical, technical, and administrative measures to protect the personal information that is stored on their servers.
